Binding Agreement
These Terms and Conditions constitute a legally binding agreement between you ("User," "you," or "your") and Veriqual ("Company," "we," "us," or "our") governing your access to and use of our technical skills assessment services, website, and platform.
By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not access or use our services.

User Obligations and Conduct
Legal Compliance
You agree to comply with all applicable local, national, and international laws and regulations when using our services, including but not limited to:
1. Data protection and privacy laws applicable in your jurisdiction
2. Intellectual property laws and regulations
3. Professional conduct standards in your industry
4. Anti-fraud and anti-money laundering regulations
5. Export control and sanctions regulations
Prohibited Activities
You expressly agree not to engage in any of the following prohibited activities:
Fraudulent Conduct
Providing false information, impersonating others, or misrepresenting your qualifications or credentials
Unauthorized Access
Attempting to access restricted areas, bypass security measures, or gain unauthorized access to systems or user accounts
System Interference
Introducing viruses, malware, or other harmful code; attempting to disable or impair our services; or overloading our infrastructure
Content Violations
Uploading or transmitting unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content
Intellectual Property Infringement
Copying, reproducing, distributing, or creating derivative works from our assessment materials without authorization
User Responsibilities
As a user of our services, you are responsible for:

- ✓ Safeguarding your login credentials and preventing unauthorized account access
- ✓ Promptly notifying us of any suspected security breaches or unauthorized use
- ✓ Ensuring that your use of our services does not violate any third-party rights

Indemnification Obligations
You agree to indemnify, defend, and hold harmless Veriqual, its subsidiaries, affiliates, officers, directors, employees, agents, and partners from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of our services; (b) your violation of these Terms and Conditions; (c) your violation of any rights of another party; or (d) any content you submit, post, or transmit through our services.
Disclaimers and Warranties
Service Provided "As Is"
Our services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. To the fullest extent permissible under applicable law, Veriqual disclaims all warranties, including but not limited to:
- • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- • Warranties regarding the accuracy, reliability, or completeness of assessment results
- • Warranties that the services will be uninterrupted, timely, secure, or error-free
- • Warranties regarding the results that may be obtained from use of the services
No Professional Advice Warranty
While our assessment services are designed to evaluate technical competencies, they do not constitute professional career advice, employment guarantees, or certification. Assessment results should be used as one component of professional development planning and should not be solely relied upon for career decisions.
Third-Party Content Disclaimer
Our services may contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or content of such external sites or resources. The inclusion of any link does not imply our endorsement of the linked site or resource.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Veriqual, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages whatsoever, including but not limited to:
- • Loss of profits, revenue, or business opportunities
- • Loss of data or information
- • Business interruption or loss of goodwill
- • Cost of procurement of substitute services
- • Personal injury or property damage
This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, even if we have been advised of the possibility of such damages.
In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability is limited to the maximum extent permitted by law. Our total aggregate liability for all claims shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or ₹10,000, whichever is greater.
Legal Information and Dispute Resolution
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Gurugram, Haryana, and you hereby consent to the personal jurisdiction and venue of such courts.
Dispute Resolution Process
In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions or the breach thereof:
Step 1: Informal Resolution
The parties shall first attempt to resolve the dispute through good faith negotiations. You must contact us at info@domain.com with a detailed description of the dispute.
Step 2: Mediation
If informal negotiations fail within 30 days, the parties may agree to engage in mediation before a mutually agreed mediator.
Step 3: Arbitration or Litigation
If mediation is unsuccessful or declined, disputes shall be resolved through binding arbitration or litigation in accordance with the governing law and jurisdiction specified above.
Class Action Waiver
To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Severability and Waiver
Severability
If any provision of these Terms and Conditions is deemed unlawful, void, or unenforceable by a court of competent jurisdiction, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
Waiver
Our failure to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. Any waiver of any provision shall be effective only if in writing and signed by an authorized representative of Veriqual.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other legal notices published by us on our services, constitute the entire agreement between you and Veriqual concerning your use of our services. These terms supersede all prior or contemporaneous communications, proposals, and agreements (whether oral, written, or electronic) between you and us.
Assignment
You may not assign or transfer these Terms and Conditions or any rights granted hereunder, by operation of law or otherwise, without our prior written consent. We may assign or transfer these terms, in whole or in part, without restriction. Subject to the foregoing, these terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.
Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or telecommunications or internet failures.
Survival
The provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to provisions regarding ownership, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.
Modifications
We reserve the right to modify these Terms and Conditions at any time, effective upon posting the updated terms on our website. Material changes will be communicated via email or prominent notice on our services. Your continued use of our services following such notification constitutes your acceptance of the modified terms.
