These Terms of Service govern your access to and use of Veriqual's technical skills assessment services, including our website, platform features, and all related services. By accessing or using our services, you agree to be bound by these terms.

If you do not agree with any part of these terms, you should not use our services. These terms constitute a legally binding agreement between you and Veriqual.

Service Usage Terms

Acceptable Use Policy

When using our services, you agree to:

1. Provide accurate, current, and complete information during registration and assessment processes
2. Use the services only for their intended purpose of professional skills assessment
3. Maintain the confidentiality of your account credentials
4. Comply with all applicable laws and regulations when using our services
5. Respect the intellectual property rights of Veriqual and other users

Prohibited Uses

You agree not to:

• Attempt to gain unauthorized access to our systems, networks, or other users' accounts
• Use automated systems or software to extract data from our services without permission
• Interfere with or disrupt the integrity or performance of our services
• Engage in fraudulent activities, including misrepresenting your qualifications or identity
• Share assessment content or materials outside of permitted uses
• Use our services in any manner that could harm Veriqual's reputation or business interests

Fair Usage Guidelines

Our services are designed for individual professional assessment. Bulk or commercial use of our assessment platform requires prior written authorization. We reserve the right to limit access if usage patterns indicate potential abuse or system strain.

Account and Access

Account Creation

To access certain features of our services, you may need to create an account. When creating an account:

• You must be at least 18 years of age

• You must provide accurate and complete registration information

• You are responsible for maintaining the security of your account

• You may not create multiple accounts without authorization

• You agree to notify us immediately of any unauthorized access

Account Security

You are responsible for:

✓ Maintaining the confidentiality of your password and account credentials
✓ All activities that occur under your account
✓ Notifying us immediately of any security breach or unauthorized use
✓ Ensuring you log out at the end of each session on shared devices

Account Suspension and Termination

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service

• You engage in fraudulent or harmful activities

• Your account remains inactive for an extended period

• We are required to do so by law or regulatory authority

• We discontinue providing services to your geographic region

You may terminate your account at any time by contacting us. Upon termination, your right to use the services will cease immediately.

Service Availability and Modifications

Service Uptime

We strive to maintain continuous service availability but cannot guarantee uninterrupted access. We reserve the right to suspend services temporarily for maintenance, upgrades, or unforeseen technical issues. We will make reasonable efforts to provide advance notice of planned maintenance.

Feature Availability

Service features may vary based on your subscription level, geographic location, or other factors. We reserve the right to modify, add, or remove features at any time. Significant changes will be communicated through email or platform notifications.

Service Modifications

We may update, modify, or discontinue any aspect of our services at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of services. Your continued use of services after modifications constitutes acceptance of those changes.

Geographic Restrictions

Our services are primarily designed for users in India. While we may be accessible from other locations, we make no representation that our services are appropriate or available for use outside India. Users accessing services from other jurisdictions do so at their own initiative and are responsible for compliance with local laws.

Intellectual Property

Our Intellectual Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, assessment methodologies, and software, are owned by Veriqual and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to:

• Access and use our services for personal assessment purposes
• Download assessment reports for your own records
• Share your assessment results with relevant parties (employers, institutions)

User-Generated Content

You retain ownership of any content you submit through our services. However, by submitting content, you grant Veriqual a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing and improving our services.

Copyright Notice

Payment and Fees

Certain services may require payment of fees. By purchasing services:

You agree to pay all applicable fees as described at the time of purchase

You authorize us to charge your specified payment method

All fees are in Indian Rupees (₹) unless otherwise stated

Fees are non-refundable except as required by law or as explicitly stated in our refund policy

We reserve the right to modify our fee structure with reasonable advance notice

Limitation of Liability

To the maximum extent permitted by law, Veriqual shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) our services
• Any conduct or content of any third party on our services
• Any content obtained from our services
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims under these terms shall not exceed the amount you paid us in the twelve months prior to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Veriqual, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of our services, violation of these terms, or infringement of any intellectual property or other rights of any person or entity.

Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or your use of our services shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana.

Before filing any legal action, you agree to attempt to resolve disputes informally by contacting us. We will make reasonable efforts to resolve disputes amicably through good faith negotiations.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will notify you by updating the "Effective Date" at the top of this page and may provide additional notice through email or prominent service notification.

Your continued use of our services after changes become effective constitutes acceptance of the modified terms. If you do not agree to the modified terms, you should discontinue use of our services.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.
